These Terms and Conditions ("Terms") govern your access to and use of the VyapaarMatrix website at vyapaarmatrix.com and all related services, including our inventory management, clinic management, and restaurant management software solutions (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Definitions

• "Platform" refers to the VyapaarMatrix website, web application, desktop application, and any associated services.
• "User", "You", "Your" refers to the individual or entity accessing or using the Platform.
• "We", "Us", "Our" refers to VyapaarMatrix and its operators.
• "Account" refers to the registered user account created to access the Services.
• "Content" refers to all data, text, information, and materials uploaded, submitted, or stored through the Platform.
• "Subscription" refers to the paid plan that grants access to premium features of the Platform.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal authority to enter into a binding agreement
• If registering on behalf of a business, have the authority to bind that business to these Terms
• Not be barred from using the Services under applicable laws

3. Account Registration and Security

When you create an account on our Platform, you agree to:

• Maintain and promptly update your account information
• Keep your password secure and confidential
• Not share your account credentials with any third party
• Immediately notify us of any unauthorized use of your account

4. Description of Services

VyapaarMatrix provides cloud-based business management solutions including:

• Inventory Management: Product management, billing and invoicing, barcode generation, purchase management, sales tracking, and analytics
• Clinic Management: Patient records, appointment scheduling, prescription management, clinic billing, and admission management
• Restaurant Management: Table management, order management, menu management, kitchen operations, and QR-based customer ordering

We reserve the right to modify, update, or discontinue any feature or service at any time with reasonable notice to users.

5. Subscription Plans and Payments

5.1 Free Trial and Paid Plans

New registrations receive a 1-month free trial with full access to all features of the Platform. After the free trial period ends, users must subscribe to a paid plan to continue using the Services. The free trial is available only once per new registration. Details of each paid plan are available on our Pricing page.

5.2 Payment Terms

• Paid subscriptions are billed in advance on a monthly or annual basis, as selected by you
• All fees are quoted in Indian Rupees (INR) unless otherwise stated
• Applicable taxes (including GST) will be added to the subscription fee
• Payment must be made through the payment methods available on our Platform
• Failure to make timely payment may result in suspension of access to paid features

5.3 Refund Policy

Refund requests are handled on a case-by-case basis. If you are unsatisfied with our Services, please contact us at support@vyapaarmatrix.com within 7 days of your purchase. We may, at our discretion, offer a full or partial refund depending on the circumstances.

6. Acceptable Use Policy

You agree not to use the Platform to:

• Violate any applicable local, state, national, or international law or regulation
• Upload, transmit, or distribute any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other accounts, systems, or networks
• Interfere with or disrupt the integrity or performance of the Platform
• Use the Platform to store or transmit illegal, fraudulent, or deceptive content
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use automated tools (bots, scrapers) to access the Platform without our written consent
• Resell, sublicense, or redistribute the Platform or its features to third parties
• Use the Platform in any manner that could damage, disable, or impair our servers

7. User Content and Data

7.1 Ownership

You retain all ownership rights to the data and content you upload or create on the Platform. We do not claim ownership over your business data, customer records, patient information, or any other content you submit.

7.2 License to Us

By using the Platform, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing and improving our Services.

7.3 Your Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of all content you upload or manage through the Platform. You must ensure that you have obtained all necessary consents and permissions (e.g., patient consent for medical records) before storing data on our Platform.

8. Intellectual Property

The Platform, including its design, code, features, logos, trademarks, and all associated intellectual property, is owned by VyapaarMatrix and is protected by applicable intellectual property laws.

• You may not copy, modify, or distribute any part of the Platform without our prior written consent
• The VyapaarMatrix name, logo, and branding are our trademarks and may not be used without permission
• Any feedback, suggestions, or ideas you provide may be used by us without obligation to you

9. Customization Services

We offer software customization services tailored to your specific business requirements. The following terms apply to customization engagements:

• Customization scope, timeline, and pricing will be agreed upon in writing before work begins
• Custom features are built on top of our existing Platform and remain our intellectual property unless explicitly agreed otherwise
• We will make commercially reasonable efforts to deliver customizations within the agreed timeline
• Changes to customization scope after agreement may result in additional charges and extended timelines

10. Service Availability and Uptime

We strive to ensure the Platform is available 24/7. However:

• We do not guarantee uninterrupted or error-free access to the Platform
• Scheduled maintenance may cause temporary downtime, and we will provide reasonable advance notice when possible
• We are not liable for any interruptions caused by factors beyond our control, including internet service disruptions, natural disasters, or third-party service outages
• We perform regular backups of your data but recommend you maintain your own backups of critical information

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied
• We do not warrant that the Platform will meet your specific requirements or expectations
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
• Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim
• We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to keep your credentials secure

12. Indemnification

You agree to indemnify, defend, and hold harmless VyapaarMatrix, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you upload or manage through the Platform.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at support@vyapaarmatrix.com. Upon termination, your right to use the Platform will cease immediately.

13.2 Termination by Us

We may suspend or terminate your account and access to the Platform at any time, with or without notice, if:

• You breach any provision of these Terms
• Your account has been inactive for an extended period
• We are required to do so by law
• We discontinue the Platform or any part of it

13.3 Effect of Termination

Upon termination, we may delete your account and associated data after a reasonable retention period. We recommend exporting your data before termination. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect.

14. Dispute Resolution

In the event of any dispute arising from these Terms or your use of the Platform:

• Informal Resolution: Both parties agree to first attempt to resolve the dispute informally by contacting us at support@vyapaarmatrix.com
• Arbitration: If informal resolution fails, the dispute shall be resolved through binding arbitration in accordance with applicable Indian arbitration laws
• Jurisdiction: The courts in India shall have exclusive jurisdiction over any matters not subject to arbitration

15. Governing Law

These Terms are governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the Indian Contract Act, 1872, and any other applicable legislation. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. We may also notify you of significant changes through email or a notice on the Platform. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Platform.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and VyapaarMatrix regarding the use of the Platform and supersede all prior agreements and understandings.
